Partner Terms & Conditions

RedPlusAI is a healthcare vertical of KothariAI (kothariai.com), a technology company specializing in AI-powered solutions.

1. Acceptance of Terms

By registering as a partner with RedPlusAI, a vertical of KothariAI ("Company," "we," "us," or "our"), you ("Partner," "you," or "your") agree to be bound by these Partner Terms and Conditions ("Agreement"). If you do not agree to these terms, you may not participate in the partner program.

2. Partner Program Overview

The RedPlusAI Partner Program allows individuals, clinics, hospitals, diagnostic centers, medical shops, and other entities to promote our medical services and earn partnership allowances on qualifying transactions.

3. Eligibility

To participate in the partner program, you must:

• Be at least 18 years of age or the age of legal majority in your jurisdiction
• Have the legal capacity to enter into binding contracts
• Provide accurate and complete registration information
• Maintain a valid UPI account for payment processing
• Comply with all applicable laws and regulations

4. Partner Obligations

As a partner, you agree to:

• Promote RedPlusAI services in a professional, ethical, and lawful manner
• Not make false, misleading, or exaggerated claims about our services
• Not engage in spamming, unsolicited marketing, or unethical practices
• Use only approved marketing materials and messaging provided by us
• Maintain the confidentiality of your partner account credentials
• Promptly update your contact and payment information as needed
• Comply with all applicable healthcare, advertising, and consumer protection laws

5. Partnership Allowance Structure

Partners are eligible to earn a partnership allowance on qualifying transactions generated through their unique referral code or QR code. The allowance structure is as follows:

• Allowance rates are determined by the Company and may vary based on service type, volume, geography, and other factors
• Current allowance rates are displayed in your partner dashboard
• Allowances are calculated based on successfully completed and paid transactions only
• Refunded, cancelled, or fraudulent transactions do not qualify for partnership allowances

6. Payment Terms

6.1 Payment Schedule: Partnership allowances are processed on a monthly basis, typically on or around the 1st day of each month for the previous month's qualifying transactions.

6.2 Minimum Payout Threshold: A minimum accumulated allowance balance is required to process payment. The current minimum threshold is displayed in your partner dashboard and may be adjusted periodically.

6.3 Payment Method: Payments are made exclusively via UPI (Unified Payments Interface) to the UPI ID registered in your partner account. You are responsible for ensuring your UPI details are accurate and current.

6.4 Payment Processing Time: While we strive to process payments promptly, please allow 5-10 business days for payments to reflect in your account.

6.5 Tax Responsibility: You are solely responsible for any taxes, duties, or fees applicable to the partnership allowances you receive. The Company does not withhold taxes unless required by law.

7. Prohibited Activities

Partners are strictly prohibited from:

• Using false, misleading, or deceptive marketing practices
• Impersonating medical professionals or misrepresenting qualifications
• Making medical diagnoses or providing medical advice
• Sharing confidential or proprietary information about the Company
• Manipulating or attempting to manipulate the referral system
• Creating fake accounts or generating fraudulent referrals
• Using automated bots or scripts to generate referrals
• Bidding on the Company's brand terms in paid search campaigns
• Engaging in any activity that damages the Company's reputation

8. Intellectual Property

All trademarks, logos, service marks, and content provided by the Company remain the exclusive property of RedPlusAI and KothariAI. Partners are granted a limited, non-exclusive, non-transferable license to use approved marketing materials solely for promoting RedPlusAI services in accordance with these terms.

9. Termination

9.1 By Partner: You may terminate your participation in the partner program at any time by providing written notice to the Company.

9.2 By Company: We reserve the right to suspend or terminate your partner account immediately, with or without cause, and with or without notice, if we determine that:

• You have violated any provision of this Agreement
• You have engaged in fraudulent or unethical conduct
• Your participation poses a risk to the Company or its users
• Termination is required by law or regulatory authority
• The partner program is discontinued

9.3 Effect of Termination: Upon termination, you must immediately cease all promotional activities and use of Company materials. Any earned but unpaid allowances meeting the minimum threshold will be paid within 60 days of termination, subject to verification and fraud review.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE COMPANY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, ARISING FROM YOUR PARTICIPATION IN THE PARTNER PROGRAM.

11. Indemnification

You agree to indemnify, defend, and hold harmless the Company, its affiliates, officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from your breach of this Agreement or violation of any law or regulation.

12. Modification of Terms

The Company reserves the right to modify, amend, or update these terms at any time. Changes may be made with or without prior notice based on periodic reviews, legal requirements, business needs, or other factors. Continued participation in the partner program after changes are posted constitutes acceptance of the modified terms.

13. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of India. Any disputes arising from this Agreement shall be subject to the exclusive jurisdiction of the courts in Delhi, India.

14. Entire Agreement

This Agreement constitutes the entire agreement between you and the Company regarding the partner program and supersedes all prior agreements and understandings, whether written or oral.

By participating in the RedPlusAI Partner Program, you acknowledge that you have read, understood, and agree to be bound by these Terms & Conditions.
